Vertiv agrees to buy UtilityInnovation Group in deal worth up to $2.6 billion

Vertiv agreed Sept. 2 to buy UtilityInnovation Group for about $1.45 billion in cash, plus up to $1.15 billion in EBITDA-linked earnouts. The deal is expected to close in Q4 2026 and adds microgrid controls, switchgear and energy storage orchestration for AI data centers.

The earnouts are tied to EBITDA targets over 12- and 24-month periods. The initial price is about 13 times UIG’s projected 2027 EBITDA, and the transaction is expected to add to adjusted EPS in its first year after closing. The article says microgrids and behind-the-meter systems could help data-center operators work around utility connection delays.
