C3.ai CEO Thomas Siebel sold 444,248 shares for about $4.8 million on Sept. 15 and 16, according to an SEC filing. The sale was made under a pre-established Rule 10b5-1 plan; the stock’s one-year total return was down 40% as of Sept. 16.
The sale was a cashless exercise of 444,248 options with a $3.90 strike price: the options were converted into Class A shares and immediately sold. Afterward, Siebel held 722,362 shares directly and about 8.6 million indirectly, in addition to roughly 2.1 million derivative securities, including vested and unvested awards.
C3.ai shares closed at $10.78 on Sept. 17. Siebel had stepped away from the CEO role in 2025 for health concerns and returned in June; C3.ai reported a 73% quarter-over-quarter increase in customer bookings.
