SpaceX COO Gwynne Shotwell files to sell $52 million in shares

SpaceX President and COO Gwynne Shotwell filed to sell 342,170 shares worth about $51.96 million. Her Sept. 22 notice says the proposed sale follows a prearranged Rule 10b5-1 plan adopted June 23; it is the first significant executive sale filing since the June IPO.

The filing says Shotwell acquired the shares by exercising stock options. The share count and stated value imply a price of about $151.85 each; the form reports no securities sales by her in the preceding three months and lists Morgan Stanley Smith Barney as broker.

SpaceX used rolling lockups rather than a standard 180-day cliff. An Aug. 6 release made about 911.5 million shares available; the next 7% tranches are due Oct. 9 and Oct. 24. Morningstar reported that the largest remaining wave, about 28% of the regular insider pool, would follow Q3 earnings. Standard employees and early retail investors face full lockup expiry Dec. 8, while Elon Musk and core institutional backers cannot sell until June 12, 2027.
